Bank of America Schedules Special Shareholder Meeting to Vote on Fleet Merger

CHARLOTTE, N.C., Jan. 12 /PRNewswire-FirstCall/ -- Bank of America Corporation today announced that it will hold a special meeting of shareholders on March 17 to vote on its proposed merger with FleetBoston Financial Corporation.

Shareholders of record on January 26, 2004 will be entitled to vote. The meeting will be held in the Palmetto Room of the International Trade Center, in Charlotte, N.C. beginning at 10 a.m.

Under terms of the agreement, Fleet Boston Financial stockholders will receive .5553 shares of Bank of America common stock for each of their shares. The agreement has been approved by both boards of directors and is subject to normal regulatory approval.
