         Release of First Quarter  Earnings.  On April 17, 2000, Bank of America
Corporation, the registrant (the "Registrant"),  announced financial results for
the first  quarter of fiscal  2000,  reporting  earnings  of $2.24  billion  and
diluted  earnings  per  common  share  of  $1.33.  A copy of the  press  release
announcing the results of the  Registrant's  fiscal quarter ended March 31, 2000
is filed as Exhibit 99.1 to this Current Report on Form 8-K.
