The securities to be registered hereby are (i) the capital securities (the "Capital Securities") of BAC Capital Trust I (the "Trust"), a Delaware statutory business trust, and (ii) the guarantee related thereto by Bank of America Corporation (the "Corporation"), a Delaware corporation.
