(b) On January 28, 2008, Merrill Lynch & Co., Inc. (“Merrill Lynch”) announced that Ahmass L.
Fakahany, co-president and chief operating officer of Merrill Lynch
has informed the company of his
decision to retire and will leave his current role, effective
February 1, 2008.

by reference herein.
Merrill Lynch has not entered into any material plans, contracts or arrangements or amended any
existing plans, contracts or arrangements with Mr. Fakahany.
