On April 15, 2002, Bank of America Corporation (the "Registrant") announced
financial results for the first quarter ended March 31, 2002, reporting earnings
of $2.18 billion and diluted earnings per common share of $1.38. A copy of the

March 31, 2002 is attached hereto as Exhibit 99.1 and incorporated by reference
herein.
