Item 3.03. Material Modifications to Rights of Security Holders.

 

Upon issuance of the Series 2 Preferred Stock defined and referenced in Item 5.03 below, and as more fully described in the Certificate of Designations relating to the Series 2 Preferred Stock, the ability of Merrill Lynch & Co., Inc. (the “Company”) to pay dividends on, make distributions with respect to, or redeem, purchase or acquire, or make a liquidation payment on its common stock and on other preferred stock ranking on a parity with the Series 2 Preferred Stock, will be subject to certain restrictions in the event that it does not declare dividends on the Series 2 Preferred Stock during any dividend period.

 

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On March 9, 2005, the Company filed a Certificate of Designations to its Restated Certificate of Incorporation with the Secretary of State of the State of Delaware, setting forth the terms of the Floating Rate Non-Cumulative Preferred Stock, Series 2 of the Company (the “Series 2 Preferred Stock”).

 

Item 8.01. Other Events.

 

Exhibits are filed herewith in connection with the Registration Statement on Form S-3 (File No. 333-122639) filed by the Company with the Securities and Exchange Commission covering preferred stock issuable pursuant to the Company’s Restated Certificate of Incorporation. The Company shall issue depositary shares, each representing a 1/1200th interest in a share of Series 2 Preferred Stock. The exhibits consist of the Underwriting Agreement, the Restated Certificate of Incorporation, the Certificate of Designations related to the Company’s Floating Rate Non-Cumulative Preferred Stock, Series 1 , the Certificate of Designations related to the Series 2 Preferred Stock and an opinion of counsel.
