This Amendment No. 1 (this "Amendment") amends, as set forth below, the statement on Schedule 13D, dated November 1, 2017 and filed with the SEC on November 13, 2017 (the "Original Schedule 13D"), for Bank of America Corporation ("BAC") and Banc of America Preferred Funding Corporation ("BAPFC") (collectively, the "Reporting Persons") with respect to the variable rate muni term preferred shares ("VMTP Shares") of Invesco Municipal Income Opportunities Trust (the "Issuer").

This Amendment is being filed in relation to the amendment to (i) the Registration Rights Agreement, dated November 1, 2017, and (ii) the Variable Rate Muni Term Preferred Shares Purchase Agreement, dated November 1, 2017, relating to the VMTP Shares of the Issuer.

"Effective as of April 27, 2020, (i) the Registration Rights Agreement, dated as of November 1, 2017, has been amended by the Amendment to the Registration Rights Agreement, dated April 27, 2020, and (ii) the Variable Rate Muni Term Preferred Shares Purchase Agreement, dated as of November 1, 2017, has been amended by Amendment No. 1 to the Variable Rate Muni Term Preferred Shares Purchase Agreement, dated April 27, 2020."
