On February 7, 2019, following approval by the Federal Reserve, the Board authorized the repurchase of an additional $2.5 billion of common stock through June 30, 2019. This common stock repurchase authorization includes only common stock.
During the three months ended March 31, 2019, the Corporation repurchased and retired 220 million shares of common stock in connection with the 2018 Comprehensive Capital Analysis and Review (CCAR) capital plan. These repurchases reduced shareholders’ equity by $6.3 billion.
During the three months ended March 31, 2019, in connection with employee stock plans, the Corporation issued 83 million shares of its common stock and, to satisfy tax withholding obligations, repurchased 32 million shares of its common stock. At March 31, 2019, the Corporation had reserved 443 million unissued shares of common stock for future issuances under employee stock plans, convertible notes and preferred stock.
Preferred Stock
During the three months ended March 31, 2019, the Corporation declared $442 million of cash dividends on preferred stock. There were no issuances or redemptions of preferred stock during the three months ended March 31, 2019.
Restricted Stock Units
During the three months ended March 31, 2019, the Corporation granted 94 million restricted stock unit (RSU) awards to certain employees under the Bank of America Corporation Key Employee Equity Plan. These awards were authorized to settle predominantly in shares of common stock of the Corporation and will be expensed based on the grant-date fair value of the shares. Certain RSUs will be settled in cash or contain settlement provisions that subject these awards to variable accounting whereby compensation expense is adjusted to fair value based on changes in the share price of the Corporation’s common stock up to the settlement date. Of the RSUs granted, 71 million will vest predominantly over three years with most vesting in one-third increments on each of the first three anniversaries of the grant date provided that the employee remains continuously employed with the Corporation during that time, and will be expensed ratably over the vesting period, net of estimated forfeitures, for non-retirement eligible employees. For RSUs granted to employees who are retirement eligible, the awards are deemed authorized as of the beginning of the year preceding the grant date when the incentive award plans are generally approved. As a result, the estimated value is expensed ratably over the year preceding the grant date. Additionally, 23 million of the RSUs granted will vest predominantly over four years with most vesting in one-fourth increments on each of the first four anniversaries of the grant date provided that the employee remains continuously employed with the Corporation during that time, and will be expensed ratably over the vesting period, net of estimated forfeitures.
